By accessing or using OppEdge ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

OppEdge provides competitive intelligence and market analysis tools for local businesses, including:

• Competitor analysis and benchmarking
• Review sentiment analysis
• Local opportunity intelligence
• Market insights and recommendations
• Data export and reporting features

3. Account Registration

To use the Service, you must:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Be at least 16 years old
• Notify us immediately of any unauthorized access

You are responsible for all activities that occur under your account.

4. Subscription and Payment

4.1 Subscription Tiers

We offer multiple subscription tiers:

• Free: Limited features and scan history
• Starter: Enhanced features with monthly limits
• Pro: Advanced features and higher limits
• Enterprise: Custom solutions and unlimited access

4.2 Billing

• Subscriptions are billed monthly or annually in advance
• Payments are processed securely through Stripe
• Prices are subject to change with 30 days notice
• No refunds for partial months or unused features

4.3 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. You will retain access until then.

5. Acceptable Use

You agree NOT to:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Transmit malware, viruses, or harmful code
• Attempt to gain unauthorized access to our systems
• Use the Service for illegal or fraudulent purposes
• Scrape, crawl, or harvest data without permission
• Resell or redistribute the Service
• Reverse engineer or decompile the Service

6. Intellectual Property

The Service and its content (excluding user data) are owned by OppEdge and protected by copyright, trademark, and other intellectual property laws.

You retain ownership of your data. By using the Service, you grant us a license to process your data to provide the Service.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. We collect and process data as described in the Privacy Policy.

8. Third-Party Services

The Service integrates with third-party services (Google Places, Yelp, OpenAI, etc.). Your use of these services is subject to their respective terms and policies.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

• Merchantability and fitness for a particular purpose
• Accuracy, completeness, or reliability of data
• Uninterrupted or error-free operation
• Security or freedom from viruses

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPPEDGE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION.

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless OppEdge from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

12. Termination

We may suspend or terminate your account if you:

• Violate these Terms
• Fail to pay subscription fees
• Engage in fraudulent or illegal activity
• Pose a security risk

Upon termination, your right to use the Service ceases immediately.

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the Service. Continued use after changes constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of San Francisco County, California.

15. Dispute Resolution

Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unsuccessful, disputes may be resolved through binding arbitration.
